Terms of Service

These Terms of Service ("Terms") govern your use of the Nepteo platform and services. By creating an account, you agree to these Terms in their entirety.

1. Acceptance

By creating a Nepteo account, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

2. Service Description

Nepteo is an AI-powered workspace for independent professionals. The platform includes:

  • Nepty: an AI Operator that assists with managing clients, drafting messages, creating invoices, scheduling meetings, and organizing documents.
  • Multi-channel messaging: a unified inbox for email, WhatsApp, Telegram, and other communication channels.
  • Business suite: CRM (contacts), invoicing and billing, calendar/agenda, document management, templates, and a secure vault.
  • Assistant memory: Nepty learns your preferences, client details, and communication style to provide personalized assistance.

3. Plans & Pricing

Nepteo offers the following plans:

  • Free Trial: 7-day free trial with full access. No payment method is required to start the trial.
  • Starter: 49 EUR/month. Core features including Nepty, messaging (bot Telegram + Gmail), contacts, calendar, documents.
  • Pro: 199 EUR/month. All features including advanced integrations, multi-channel messaging, vault, templates, billing automation.

All prices are in EUR, excluding applicable VAT. Billing is processed monthly via Stripe. Price changes for plans require 60 days advance notice. The Founding Member offer is no longer available; accounts already enrolled keep the price locked at the rate in effect at the time of enrollment.

4. Your Account

  • You must be at least 18 years old and have legal capacity to enter into agreements.
  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at security@nepteo.ai if you suspect unauthorized access.

5. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose or in violation of applicable law.
  • Send spam, unsolicited messages, or bulk communications through the platform.
  • Attempt to reverse-engineer, decompile, or extract the source code of Nepteo.
  • Resell, sublicense, or redistribute access to the service without written permission.
  • Abuse API rate limits or attempt to overload the service.
  • Violate the terms of service of connected third-party platforms (Gmail, WhatsApp, etc.).
  • Upload malicious content, viruses, or code designed to harm the service or other users.
  • Use the service to process, store, or transmit health data or patient information. Nepteo is not designed as a health data hosting service and is not certified for this purpose. Healthcare professionals should not connect email accounts or other sources containing patient data.

6. Your Content

You retain full ownership of all content you create or upload to Nepteo, including documents, invoices, messages, contacts, and templates.

You grant Nepteo a limited, non-exclusive license to process your content solely for the purpose of providing the service. This includes processing by our AI systems (Anthropic, Google, OpenAI) to generate responses, drafts, and suggestions.

Your content is never used to train AI models. We have zero-retention agreements with our LLM providers, meaning your data is not stored or used for model training purposes.

We perform regular backups but do not guarantee against data loss. We recommend maintaining your own copies of critical business documents.

7. Termination

  • By you: you may cancel your subscription at any time from Settings. Access continues until the end of the current billing period.
  • By Nepteo: we may suspend or terminate your account with 30 days notice, except in cases of serious Terms violations (immediate termination).
  • Accounts enrolled in the former Founding Member offer: your lifetime pricing guarantee is honored unless your account is terminated for a serious violation of these Terms.
  • Data after termination: you may export your data from Settings > Data > Export data at any time before or after cancellation. Data is deleted on request to privacy@nepteo.ai, within 30 days, in accordance with our Privacy Policy.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be announced at least 7 days in advance when possible.

The service is provided on a best-effort basis. We do not offer contractual SLA guarantees at this time. We are committed to resolving outages and issues as quickly as possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The service is provided "as is" without warranties of any kind, express or implied.
  • Nepteo does not guarantee specific business outcomes or results from using the service.
  • Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or willful misconduct.

10. Intellectual Property

Nepteo, Nepty, and all associated logos, designs, and code are the intellectual property of Nepteo and its licensors. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

You retain all intellectual property rights to the content you create using Nepteo.

11. AI Operator (Nepty)

Nepty is an AI-powered assistant that uses large language models (Anthropic, Google, OpenAI) to process your requests and generate responses. Please note:

  • AI-generated responses may contain errors or inaccuracies. Human review is recommended for sensitive actions (financial transactions, legal documents, client communications).
  • Nepty uses a three-tier approval system: automatic (read operations), confirmation required (reversible actions), and sensitive (irreversible or high-value actions requiring explicit approval).
  • All Nepty actions are logged in an audit trail for your review.
  • Nepty's memory stores learned patterns and preferences in your account. You can view, edit, or delete memories at any time.

12. Third-Party Integrations

Nepteo connects to third-party services (Gmail, Outlook, WhatsApp, Telegram, Calendly, etc.) via OAuth or API integrations. When using these integrations:

  • You must comply with the terms of service of each connected platform.
  • Nepteo acts as an intermediary and is not responsible for changes, outages, or policy decisions by third-party providers.
  • You may disconnect any integration at any time from Settings.
  • Data accessed via integrations is processed in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of France. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

14. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. The "Last updated" date at the top indicates the most recent revision. Continued use of the service after the effective date of changes constitutes acceptance.

15. Professionals, AI, health and data

Adult professionals. Nepteo is only for adults who use it for their business. It is not intended for consumers.

Declaration. At sign-up, the user declares that they are an adult acting for their business. Nepteo may close the account if this declaration is false.

Artificial intelligence. Nepty is an AI system. Its suggestions may be wrong. Every write action must be approved by the user, who remains responsible for what they approve. No message is sent to a third party without their approval.

Health data. Storing patient health data in Nepteo is prohibited. Healthcare professionals must not use Nepteo for their patients.

Data protection. For the data of their clients and contacts, the user is the controller and Nepteo is the processor. The Data Processing Agreement (DPA) forms part of these Terms.
